Welcome to ReelReview. By accessing or using our video review platform, you agree to be bound by these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By creating an account or using ReelReview ("Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

ReelReview is a video review and approval platform that enables:

  • Uploading and managing video content
  • Sharing videos with clients for review
  • Collecting timestamped feedback and comments
  • Managing approval workflows
  • Organizing projects and deliverables

3. Account Registration

To use the Service, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account

You must be at least 18 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use the Service to:

  • Upload content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Infringe upon intellectual property rights of others
  • Upload malware, viruses, or malicious code
  • Attempt to gain unauthorized access to the Service or other accounts

5. Content Ownership and Rights

Your Content

You retain all ownership rights to content you upload ("Your Content"). By uploading content, you grant us a limited license to store, process, and display Your Content solely to provide the Service. This license terminates when you delete Your Content or your account.

Our Content

The Service, including its design, features, and documentation, is owned by ReelReview and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

6. Client Portal Access

When you invite clients to review content:

  • You are responsible for ensuring you have the right to share the content
  • Clients must agree to these Terms to access the portal
  • You control client access permissions and can revoke access at any time
  • Client comments and approvals are stored and associated with your organization

7. Payment and Billing

If you subscribe to a paid plan:

  • Fees are billed in advance on a recurring basis
  • All fees are non-refundable except as required by law
  • We may change pricing with 30 days notice
  • You are responsible for applicable taxes
  • Failure to pay may result in service suspension

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may:

  • Perform scheduled maintenance with reasonable notice
  • Modify or discontinue features with notice
  • Suspend service for security or legal reasons

We are not liable for any downtime or service interruptions.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to our data practices.

10. Termination

You may terminate your account at any time. We may terminate or suspend your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Fail to pay applicable fees

Upon termination, your right to use the Service ceases. You may request export of Your Content before termination.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be error-free or uninterrupted
  • Defects will be corrected
  • The Service is free of viruses or harmful components

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REELREVIEW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless ReelReview, its officers, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your Content
  • Your violation of these Terms
  • Your violation of any rights of another party

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

15. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or prominent notice on the Service. Continued use after changes constitutes acceptance of the new Terms.

16. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and ReelReview.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right does not waive that right.
  • Assignment: You may not assign these Terms. We may assign them in connection with a merger or acquisition.
